Form 10 Registration Statement for Rockwell Collins Spin-off Declared Effective be SEC
MILWAUKEE, Wisc. (June 15, 2001) - Rockwell International Corporation (NYSE: ROK) today announced that the Form 10 registration statement for the previously
announced spin-off of Rockwell Collins has been declared effective by the Securities and Exchange Commission (SEC). The company
expects the Internal Revenue Service ruling to be received shortly.
Under the terms of the spin-off, shareowners of Rockwell are expected to receive as of the close of business on June 29, 2001
shares in the new company on a one-for-one basis. Shares of Rockwell Collins will trade on the New York Stock Exchange under
